Template, pending legal review

This document is a template. It is not legal advice and must be completed with your organisation's details and reviewed by qualified counsel before publication. Every item marked in brackets requires a real value.

1. About these terms

These terms are a binding agreement between you and [Legal entity name - to be completed] regarding your use of the Soluna website and the live demo. By using the site you agree to these terms. Services delivered to a clinic are governed by a separate signed service agreement, which prevails over these website terms in case of conflict.

2. What Soluna is

Soluna is an independent technology and managed-service provider. We build and operate bilingual AI reception and administrative automation for private clinics.

Soluna is not a medical provider. It does not deliver clinical care, diagnosis, treatment or medical advice, and nothing on this site should be read as such. Clinical decisions always rest with qualified healthcare professionals at the clinic.

3. Acceptable use

When using the website and the live demo, you agree not to:

  • Use the site or demo for any unlawful, harmful or fraudulent purpose.
  • Attempt to disrupt, overload, probe or gain unauthorised access to the site or its systems.
  • Reverse engineer, scrape or copy the site except as permitted by law.
  • Submit content that infringes the rights of others or that you are not entitled to share.
  • Enter real patient data or other sensitive personal data into the live demo.

4. Using the live demo

The live demo is provided for illustration only. It is built around a fictional clinic and fictional scenarios, and it does not represent a real patient, a real booking or a real clinical interaction.

You must not enter real patient information or any real health data into the demo. The demo is provided as is, without any warranty, and we may change or withdraw it at any time.

5. Intellectual property

The Soluna name, brand, website, content and underlying technology are owned by [Legal entity name - to be completed] or its licensors and are protected by applicable intellectual property law. We grant you a limited, non-exclusive, non-transferable right to view the site for your own evaluation. No other rights are granted.

6. Third-party services and links

The site may reference or link to third-party services. We do not control those services and are not responsible for their content, availability or practices. Your use of them is governed by their own terms.

7. Disclaimers

The website and live demo are provided on an as is and as available basis. To the extent permitted by law, we disclaim all implied warranties, including fitness for a particular purpose and uninterrupted or error-free operation.

Information on the site is general in nature, may change, and is not a commitment or a guarantee of any particular outcome.

8. Limitation of liability

To the maximum extent permitted by applicable law, we are not liable for indirect, incidental or consequential loss, or for loss of profits, revenue, data or goodwill, arising from your use of the website or the live demo. Nothing in these terms excludes liability that cannot be excluded under applicable law.

Liability relating to the paid managed service is addressed in the separate service agreement.

9. Governing law and jurisdiction

These terms are governed by the laws of Spain [governing jurisdiction: Spain - to be confirmed]. The courts of [competent courts and city - to be completed] shall have jurisdiction, subject to any mandatory consumer protection rules that may apply to you.

10. Changes to these terms

We may update these terms from time to time. Continued use of the site after an update means you accept the revised terms. The date above shows when they were last changed.

11. Contact

Questions about these terms can be sent to [Legal entity name - to be completed] at [Contact email - to be completed].
